Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the GEO Roadmap platform, including all associated software, tools, audit outputs, discovery sessions, and roadmap documents (collectively, the “Platform”). By creating an account or using any part of the Platform, you agree to be bound by these Terms. If you do not agree, do not use the Platform.

The Platform is made available exclusively to verified marketing agencies. Use by end clients, sole traders acting in a personal capacity, or any non-agency entity is not permitted without prior written approval.

1. Definitions

“GEO Roadmap” means GEO Roadmap Limited, a company incorporated in New Zealand (NZBN to be confirmed upon incorporation).
“Subscriber” means the marketing agency that has registered for and been approved to access the Platform.
“Authorised User” means any individual employed by or contracted to the Subscriber who accesses the Platform on the Subscriber’s behalf.
“Client Domain” means any third-party website URL submitted to the Platform by a Subscriber for the purpose of generating an Audit or Roadmap.
“Audit” means the automated diagnostic report generated by the Platform assessing a Client Domain’s Generative Engine Optimisation (GEO) readiness.
“Discovery Session” means the AI-facilitated consultative session conducted through the Platform to gather business context for a Client Domain.
“Roadmap” means the strategy document generated by the Platform combining Audit data and Discovery Session outputs.
“Platform Outputs” means any Audits, Discovery transcripts, or Roadmaps generated through the Platform.

2. Eligibility and Account Registration

The Platform is restricted to registered marketing agencies. GEO Roadmap reserves the right to verify the nature of your business before granting or continuing access. Providing false or misleading information during registration is grounds for immediate account suspension.

You must be at least 18 years of age and have the legal authority to bind your agency to these Terms. By registering, you represent and warrant that you meet these requirements.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify GEO Roadmap immediately at legal@georoadmap.ai if you become aware of any unauthorised use.

3. Platform Access and Subscription

GEO Roadmap offers tiered subscription plans as described on the Platform. Subscription fees, credit allocations, and billing cycles are as published on the Platform at the time of purchase and are subject to change with 30 days’ written notice.

All prices are listed in United States Dollars (USD) unless otherwise stated. Currency conversion is the Subscriber’s responsibility. Applicable taxes (including GST, VAT, or equivalent) may be added at checkout depending on the Subscriber’s jurisdiction.

Free-tier access (where offered) is provided at GEO Roadmap’s discretion and may be modified or withdrawn at any time without notice.

Subscriptions renew automatically unless cancelled before the next billing date. No refunds are issued for partial subscription periods except where required by applicable consumer protection law in the Subscriber’s jurisdiction.

4. Acceptable Use

Subscribers must use the Platform only for lawful purposes and in accordance with these Terms and the Acceptable Use Policy (incorporated by reference). In particular, Subscribers must not:

  • Use Platform Outputs to deceive, mislead, or misrepresent to clients the nature, basis, or methodology of the analysis;
  • Reverse-engineer, scrape, or otherwise attempt to extract the underlying data models, prompt architecture, or scoring algorithms of the Platform;
  • Resell, sub-license, or white-label Platform Outputs in a manner that implies the Subscriber independently developed the methodology, without disclosure that a third-party platform was used (see White-Label Terms for permitted resale);
  • Submit Client Domains for the purpose of competitive intelligence gathering on behalf of a third party that is not a genuine prospective client of the Subscriber;
  • Use the Platform in any way that violates the privacy rights of individuals or entities in any applicable jurisdiction.

5. Platform Outputs and Intellectual Property

Subject to payment of applicable fees and compliance with these Terms, GEO Roadmap grants the Subscriber a non-exclusive, non-transferable licence to use Platform Outputs for the purpose of pitching and delivering GEO-related services to their clients.

All intellectual property in the Platform, including its scoring methodology, prompt architecture, Discovery Session framework, and output templates, remains the exclusive property of GEO Roadmap Limited. No rights are transferred to the Subscriber other than the limited licence described above.

The Subscriber retains ownership of the business context and other information they input into the Platform. By submitting such information, the Subscriber grants GEO Roadmap a limited licence to process that information solely for the purpose of generating Platform Outputs and as otherwise described in the Privacy Policy.

Platform Outputs may be white-labelled and presented to clients under the Subscriber’s own brand in accordance with the White-Label and Reseller Terms.

7. Disclaimers and Limitations of Liability

The Platform provides automated, AI-assisted analysis based on publicly accessible website data and the business context provided by the Subscriber. Platform Outputs are diagnostic and strategic in nature and do not constitute professional advice (legal, financial, technical, or otherwise).

GEO Roadmap does not warrant that Platform Outputs will result in improved AI search visibility, increased client revenue, or any other commercial outcome. Results depend on implementation quality, third-party AI system behaviour, and factors outside GEO Roadmap’s control.

To the maximum extent permitted by applicable law, GEO Roadmap’s total aggregate liability to any Subscriber arising out of or in connection with the Platform shall not exceed the total subscription fees paid by that Subscriber in the three (3) months immediately preceding the event giving rise to the claim.

GEO Roadmap is not liable for any indirect, consequential, incidental, special, or punitive damages, including loss of profits, loss of revenue, or loss of data, even if advised of the possibility of such damages.

Nothing in these Terms excludes or limits liability for fraud, death, or personal injury caused by negligence, or any other liability that cannot be excluded under applicable law in the relevant jurisdiction.

8. Modifications to the Platform and Terms

GEO Roadmap reserves the right to modify, suspend, or discontinue any part of the Platform at any time. We will endeavour to provide reasonable notice of material changes.

These Terms may be updated from time to time. The current version will always be published at georoadmap.ai. Continued use of the Platform following notice of updated Terms constitutes acceptance.

9. Termination

GEO Roadmap may suspend or terminate a Subscriber’s account immediately for breach of these Terms, fraudulent activity, or any conduct that GEO Roadmap reasonably considers harmful to the Platform, other Subscribers, or third parties.

A Subscriber may terminate their account at any time by cancelling their subscription. Termination does not entitle the Subscriber to a refund of prepaid fees except as required by law.

Upon termination, the Subscriber’s right to access the Platform ceases. Platform Outputs already generated and held by the Subscriber may continue to be used in accordance with the licence granted in clause 5.

10. Governing Law and Dispute Resolution

These Terms are governed by the laws of New Zealand. The parties submit to the non-exclusive jurisdiction of the New Zealand courts.

GEO Roadmap operates globally and acknowledges the following international frameworks as relevant to cross-border matters involving Subscribers:

  • The United Nations Convention on Contracts for the International Sale of Goods (CISG), where applicable;
  • The Hague Convention on Choice of Court Agreements, where the relevant jurisdiction has ratified it;
  • The APEC Cross-Border Privacy Rules framework, relevant to Asia-Pacific Subscribers;
  • Applicable mutual recognition and enforcement treaty arrangements between New Zealand and the Subscriber’s jurisdiction.

Before commencing formal legal proceedings, both parties agree to attempt to resolve any dispute through good-faith negotiation for a period of 30 days following written notice of the dispute.

11. General

If any provision of these Terms is found to be unenforceable, the remaining provisions continue in full force. A waiver of any breach does not constitute a waiver of subsequent breaches. These Terms, together with the Privacy Policy, Acceptable Use Policy, White-Label and Reseller Terms, and the Data Processing Agreement, constitute the entire agreement between GEO Roadmap and the Subscriber with respect to the Platform.
